By accessing, using, or registering for Remote Wait ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Remote Wait ("we," "us," or "our"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Remote Wait is a virtual queue management platform that enables businesses to:
- Create and manage digital waitlists for their customers
- Allow customers to join queues remotely via QR codes or web links
- Send SMS notifications to customers when it's their turn
- Track queue analytics, wait times, and customer patterns
- Customize customer-facing pages with branding and messaging
The Service is provided on a subscription basis with different plan tiers offering varying features and usage limits.
3. Account Registration and Eligibility
3.1 Account Creation
To use Remote Wait, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account password
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring that anyone who accesses your account is authorized to do so
3.3 Business Accounts
If you create an account on behalf of a business:
- You represent that you have authority to bind the business
- The business is responsible for all users accessing the account
- You must ensure all users comply with these Terms
4. Subscription Plans and Billing
4.1 Subscription Tiers
Remote Wait offers multiple subscription plans:
- Free Plan: 1 queue, up to 50 customers per month, basic SMS notifications
- Pro Plan: Up to 5 queues, higher customer limits, advanced features
- Business Plan: Unlimited queues, white-labeling, custom domain support

4.2 Billing and Payment
- Payment Terms: Subscription fees are billed in advance on a monthly or annual basis
- Payment Methods: We accept major credit cards and other payment methods as specified
- Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
- Price Changes: We reserve the right to modify pricing with 30 days' notice to existing customers
- Refunds: Refund policies are as specified at the time of purchase
4.3 Usage Limits
Each plan has specific usage limits (e.g., number of queues, customers per month, SMS messages). Exceeding these limits may result in:
- Additional charges (if applicable)
- Service restrictions
- Requirement to upgrade to a higher plan
4.4 Free Trial
If we offer a free trial:
- The trial period and terms will be specified at signup
- Your subscription will automatically convert to a paid plan at the end of the trial unless cancelled
- You may cancel during the trial period to avoid charges
5. Acceptable Use
5.1 Permitted Use
You may use Remote Wait only for lawful purposes and in accordance with these Terms. You agree to use the Service to:
- Manage legitimate business queues and waitlists
- Provide accurate information to customers
- Comply with all applicable laws and regulations
5.2 Prohibited Activities
You agree NOT to:
- Illegal Activities: Use the Service for any illegal purpose or in violation of any laws
- Spam or Abuse: Send unsolicited messages, spam, or harassing communications
- Impersonation: Impersonate any person or entity or misrepresent your affiliation
- System Interference: Attempt to interfere with, disrupt, or damage the Service or servers
- Unauthorized Access: Attempt to gain unauthorized access to any part of the Service
- Reverse Engineering: Reverse engineer, decompile, or disassemble any part of the Service
- Data Scraping: Use automated systems to scrape or extract data from the Service
- Resale: Resell, sublicense, or redistribute the Service without authorization
- Competitive Use: Use the Service to build a competing product or service
- Harmful Content: Transmit any viruses, malware, or harmful code
5.3 Customer Data Responsibility
As a business user, you are responsible for:
- Obtaining proper consent from customers before collecting their information
- Complying with applicable privacy laws (e.g., GDPR, CCPA) when handling customer data
- Ensuring customer data is used only for legitimate queue management purposes
- Not using customer data for marketing or other purposes without explicit consent
6. SMS Notifications
6.1 SMS Service
Remote Wait provides SMS notification services to alert customers when it's their turn in the queue. By using this feature:
- You acknowledge that SMS delivery is not guaranteed
- Standard message and data rates may apply to customers
- We are not responsible for carrier delays or delivery failures
- Customers can opt-out by replying "STOP" to any message
6.2 SMS Compliance
You agree to:
- Only send SMS messages to customers who have explicitly joined your queue
- Comply with applicable SMS regulations (e.g., TCPA in the United States)
- Not use SMS for marketing or promotional purposes without proper consent
- Respect customer opt-out requests immediately
6.3 SMS Costs
SMS costs are included in your subscription plan up to specified limits. Additional messages may incur extra charges, which will be clearly communicated.
7. Intellectual Property Rights
7.1 Our Property
The Service, including all content, features, functionality, software, and design, is owned by Remote Wait and protected by copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain ownership of any content you upload or create using the Service (e.g., logos, custom messages, branding). By using the Service, you grant us a license to:
- Use, display, and distribute your content as necessary to provide the Service
- Store and process your content on our servers
- Use aggregated, anonymized data for service improvement
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
8. Data and Privacy
8.1 Data Handling
- We handle your data in accordance with our Privacy Policy
- Customer data (names, phone numbers) is automatically deleted after 30 days
- We implement security measures to protect your data
- We do not sell your personal information or customer data
8.2 Your Responsibilities
- You must comply with applicable data protection laws
- You are responsible for obtaining customer consent for data collection
- You must not use customer data for purposes beyond queue management without consent
9. Service Availability and Modifications
9.1 Service Availability
We strive to maintain high service availability but do not guarantee:
- Uninterrupted or error-free service
- That the Service will be available at all times
- That all features will function perfectly at all times
We may perform maintenance, updates, or modifications that temporarily affect service availability.
9.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service
- Add or remove features
- Change pricing or plan structures (with notice to existing customers)
- Impose usage limits or restrictions
9.3 Downtime
We are not liable for any losses or damages resulting from:
- Service interruptions or downtime
- Technical failures or errors
- Maintenance or updates
10. Termination
10.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.
10.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- You fail to pay subscription fees
- You misuse the Service in any way
10.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your data will be retained for 30 days, then deleted
- You may export your data before termination (subject to plan limitations)
- All outstanding fees remain due
11. Disclaimers and Warranties
11.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
11.2 No Guarantees
We do not guarantee that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
12. Limitation of Liability
12.1 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMOTE WAIT SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES RESULTING FROM USE OR INABILITY TO USE THE SERVICE
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS OR DATA BREACHES
- DAMAGES RESULTING FROM SMS DELIVERY FAILURES OR DELAYS
12.2 Maximum Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
12.3 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Remote Wait, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Customer complaints or disputes related to your use of the Service
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
14.2 Dispute Resolution Process
- Informal Resolution: We encourage you to contact us first to resolve any disputes informally
- Mediation: If informal resolution fails, disputes may be resolved through mediation
- Arbitration: Certain disputes may be subject to binding arbitration
- Class Action Waiver: You agree not to participate in class action lawsuits
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page with a new "Last Updated" date
- Sending an email notification to registered users (for significant changes)
- Displaying a notice on the Service
Your continued use of Remote Wait after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Remote Wait regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet failures.
